Automotive revenues represented 98% of the Company舗?s total\plain\cf1\f52\fs20\ql revenue in 2017. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql Each of these product categories manufactured in 2017 contained necessary subject metals. The subject metals\plain\cf1\f52\fs20\ql constitute a small portion of the total materials content in our products. The Company does not source the necessary\plain\cf1\f52\fs20\ql subject metals directly from mines, smelters, or refiners and believes that we are in most cases many levels\plain\cf1\f52\fs20\ql downstream from these market participants. For this reason, we rely on the information provided by our direct\plain\cf1\f52\fs20\ql suppliers along with appropriate due diligence processes. Through the efforts described in this Conflict Minerals\plain\cf1\f52\fs20\ql Report, we seek to ensure that our sourcing practices are consistent with our guiding principles on responsibly\plain\cf1\f52\fs20\ql sourcing the subject metals and to encourage responsible minerals sourcing in our supply chain. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\qj Policy \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql Our guiding principles for subject metals involve (1) responsibly sourcing subject metals, (2) undertaking due diligence\plain\cf1\f52\fs20\ql in accordance with the Organisation for Economic Co-operation and Development's Due Diligence Guidance for\plain\cf1\f52\fs20\ql Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas (the "OECD Guidance舡?) to\plain\cf1\f52\fs20\ql determine the origin of the subject metals, (3) expecting our suppliers to also do all of the same with their supply\plain\cf1\f52\fs20\ql chains and (4) complying with the Conflict Minerals Rule舗?s reporting obligations, consistent with the Gentex\plain\cf1\f52\fs20\ql Code of Business Conduct and Ethics. These guiding principles are posted on our Company website. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\qj Reasonable Country of Origin Inquiry (舠?RCOI舡?) \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql The Company舗?s RCOI was reasonably designed and performed in good faith to determine whether the subject\plain\cf1\f52\fs20\ql metals contained in our products originated in the covered countries or were from recycled or scrap sources. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql The internal subject metals team used technical expertise, component specifications, and previously gathered data to\plain\cf1\f52\fs20\ql determine the likely presence of subject metals in components and materials contained in Gentex products. In\plain\cf1\f52\fs20\ql addition, subject metals data extracted from the automotive industry舗?s International Materials Data System was\plain\cf1\f52\fs20\ql used to augment the Company舗?s knowledge of in-scope components and materials. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql All suppliers of components or materials containing or possibly containing subject metals were considered in-scope\plain\cf1\f52\fs20\ql for purposes of our supplier outreach (舠?relevant suppliers舡?). We furnished the relevant suppliers\plain\cf1\f52\fs20\ql information on the Conflict Minerals Rule, references, and a link to the Gentex Supplier Manual further explaining\plain\cf1\f52\fs20\ql supplier responsibilities, and communicated their responsibility to gather subject metals information from their supply\plain\cf1\f52\fs20\ql chains. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql These suppliers were asked to electronically report to Gentex using the Responsible Minerals Initiative\plain\cf1\f52\fs20\ql (舠?RMI舡?) Conflict Minerals Reporting Template (舠?CMRT舡?). Gentex requested that relevant\plain\cf1\f52\fs20\ql suppliers increase their focus on providing complete and accurate smelter and refiner information for 2017 and that\plain\cf1\f52\fs20\ql they pursue further due diligence on entity names not recognized by the RMI. Responses to the RCOI provided by\plain\cf1\f52\fs20\ql relevant suppliers were reviewed \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\f0\fs4\par\pard\plain\f0\fs2\brdrt\brdrs\brdrw15\brdrcf2\brdrsp0\par\pard\plain\f0\fs4\par \page\par\pard\plain\cf1\f52\fs20\b\ql Exhibit 1.01 \par\pard\plain\fs16 \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql for smelter information, completeness, and reasonableness. Based on the results of our RCOI, we were required to\plain\cf1\f52\fs20\ql conduct due diligence. The OECD\plain\cf1\f52\fs20\ql Guidance five-step framework establishes a basis for responsible global supply chain management of minerals from\plain\cf1\f52\fs20\ql conflict-affected and high-risk areas. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs22\b\qj III. Due Diligence Measures Performed \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql Gentex performed the following due diligence measures in respect of the 2017 compliance period. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\ql Step 1: Strong company management system \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql The subject metals steering team was comprised of the Company舗?s Vice President of Purchasing, Vice\plain\cf1\f52\fs20\ql President of Finance and Chief Financial Officer, and Assistant General Counsel. The steering team maintained the\plain\cf1\f52\fs20\ql Company舗?s guiding principles for responsible sourcing of the subject metals. These principles are available on\plain\sa198\cf1\f52\fs20\ql the Company舗?s website.\par\pard\plain\cf1\f52\fs20\ql The internal subject metals team maintained program management responsibility in support of the Company舗?s\plain\cf1\f52\fs20\ql guiding principles. This team was led by Supply Chain Management within the Purchasing Department and included\plain\cf1\f52\fs20\ql subject matter experts from functional areas within Gentex. Program management included technical expertise, RCOI\plain\cf1\f52\fs20\ql execution, risk identification, analysis, mitigation, and reporting. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql A mechanism through which stakeholders can report subject metal sourcing concerns in our supply chain continued to\plain\cf1\f52\fs20\ql be available on the Company舗?s website. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql Records relating to due diligence have been stored electronically. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\ql Step 2: Identification and assessment of risks \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql The information from the completed CMRTs provided by our relevant suppliers was evaluated to identify smelters and\plain\cf1\f52\fs20\ql refiners known to be sourcing from or possibly sourcing from covered country origins. This was accomplished by\plain\cf1\f52\fs20\ql comparing the smelter and refiner information provided by our relevant suppliers with the RMI舗?s country of\plain\cf1\f52\fs20\ql origin data available to RMI member companies. The RMI舗?s origin data provided aggregated subject metal\plain\cf1\f52\fs20\ql origin information for smelters and refiners. The data includes only subject metal origin countries from smelters and\plain\cf1\f52\fs20\ql refiners that are in conformance with the Responsible Minerals Assurance Process (舠?RMAP舡?) protocols\plain\cf1\f52\fs20\ql and current global standards, including mutually recognized programs. We also cross-checked the provided smelter\plain\cf1\f52\fs20\ql and refiner information with the RMI舗?s list of smelters and refiners actively pursuing a third-party audit of their\plain\cf1\f52\fs20\ql due diligence practices. In the cases where a smelter or refiner was not listed as compliant with the RMAP or not\plain\cf1\f52\fs20\ql actively pursuing compliance, we checked the entity against the information available in the smelter database\plain\cf1\f52\fs20\ql available to RMI members and against other publicly available information. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\ql Step 3: Risk response strategy \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql For smelters and refiners with reported or possible covered country origins, we checked their compliance status by\plain\cf1\f52\fs20\ql cross-checking them against CFSI舗?s list of smelters and refiners compliant with the CFSP protocol, the\plain\cf1\f52\fs20\ql actively pursuing list, and the smelter database when applicable. Our risk mitigation strategy includes an escalation\plain\cf1\f52\fs20\ql process with actions to be taken on identified risks and, when applicable, risk and action monitoring. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql A risk assessment report was provided to the Gentex subject metals steering team comprised of senior management\plain\cf1\f52\fs20\ql and has been maintained electronically. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\qj Step 4: Third-party audits of smelters and refiners \par\pard\plain\fs16 \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\f0\fs4\par\pard\plain\f0\fs2\brdrt\brdrs\brdrw15\brdrcf2\brdrsp0\par\pard\plain\f0\fs4\par \page\par\pard\plain\cf1\f52\fs20\b\ql Exhibit 1.01 \par\pard\plain\fs16 \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql The RMI coordinates and conducts the RMAP which provides independent audits of smelter and refiner\plain\cf1\f52\fs20\ql facilities舗? due diligence activities. Gentex supported the RMAP through our membership in the RMI and as a\plain\cf1\f52\fs20\ql member of the RMI舗?s Due Diligence Practices Team. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\b\i\ql Step 5: Report on supply chain due diligence \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql As required by the Conflict Minerals Rule, Gentex reported supply chain due diligence through filing a Form SD and\plain\cf1\f52\fs20\ql this Conflict Minerals Report with the SEC, as well as by posting this information on our Company website. \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs22\b\qj IV. Identified Smelters and Refiners \par\pard\plain\fs16\par\pard\plain\cf1\f52\fs20\ql The relevant suppliers identified smelters and refiners that may have processed the necessary subject metals\plain\cf1\f52\fs20\ql contained in our products in 2017, as described in the table below. Many of our suppliers reported smelter and refiner\plain\cf1\f52\fs20\ql information at a company level rather than at a product level. In those cases, the information provided to Gentex\plain\cf1\f52\fs20\ql applied to all the suppliers舗? products, not only the products supplied to Gentex. Therefore, the below table may\plain\cf1\f52\fs20\ql reflect smelters and refiners that did not actually process necessary subject metals contained in our products.
